1. AGREEMENT TO TERMS
These Terms of Service (“Terms,” “Agreement,” or “Terms of Use”) constitute a legally binding agreement entered into by and between you (“User,” “Customer,” “Provider,” “Contractor,” “Visitor,” “Applicant,” “you,” or “your”) and Obsidian Roadside & Recovery LLC, a California limited liability company (“Obsidian,” “Company,” “we,” “our,” or “us”), governing your access to and use of all websites, applications, software platforms, dispatch systems, provider portals, customer portals, communication systems, APIs, integrations, digital services, technologies, and related products or services owned, operated, licensed, maintained, or otherwise provided by Obsidian.
By accessing, browsing, using, registering for, submitting information to, communicating with, or otherwise interacting with any Obsidian platform, service, technology, communication channel, or system, you acknowledge and agree that you have read, understood, accepted, and agreed to be legally bound by these Terms and all applicable laws, regulations, policies, and operational procedures referenced herein.
If you do not agree to these Terms in their entirety, you are expressly prohibited from accessing or using any Obsidian services or systems.
2. SCOPE OF SERVICES
Obsidian operates a roadside assistance coordination platform, dispatch network, automotive support system, provider network infrastructure, and related operational technologies intended to facilitate communication, coordination, scheduling, dispatching, provider matching, customer support, and operational management relating to roadside assistance, towing, vehicle recovery, automotive services, repair referrals, transportation support, and related services.
Services may include, without limitation:
- Roadside assistance coordination
- Towing coordination
- Vehicle recovery coordination
- Lockout assistance coordination
- Tire service coordination
- Fuel delivery coordination
- Battery service coordination
- Automotive repair referrals
- Collision support referrals
- Mechanical service referrals
- Dispatch management systems
- GPS-enabled systems
- Customer and provider communication systems
- Web-based software platforms
- Mobile applications
- Real-time coordination systems
- Network management systems
- Fleet support coordination
- Insurance and commercial coordination services
Obsidian reserves the unrestricted right, at any time and without notice, to modify, suspend, discontinue, restrict, expand, limit, replace, or otherwise alter any portion of its services, systems, technologies, features, or operations.
3. NO GUARANTEE OF SERVICE AVAILABILITY
User acknowledges and agrees that Obsidian does not guarantee:
- provider availability,
- geographic coverage,
- dispatch acceptance,
- estimated arrival times (“ETAs”),
- uninterrupted platform functionality,
- service completion,
- response times,
- repair outcomes,
- recovery outcomes,
- operational performance,
- system availability,
- or successful fulfillment of any service request.
All ETAs, provider availability estimates, dispatch estimates, and operational timelines are estimates only and are subject to change without notice based upon numerous factors beyond Obsidian’s control.
4. THIRD-PARTY PROVIDERS; NO EMPLOYMENT RELATIONSHIP
User acknowledges and agrees that many services coordinated through Obsidian are performed by independent third-party businesses, contractors, vendors, roadside operators, towing companies, repair facilities, mobile service providers, recovery operators, and automotive professionals (“Providers”).
- Providers are independent entities.
- Providers are not employees, agents, partners, joint venturers, or representatives of Obsidian.
- Obsidian does not directly supervise or control Provider operations.
- Obsidian does not own or control Provider vehicles, equipment, employees, facilities, or operational procedures.
- Obsidian does not warrant Provider qualifications, licensing, certifications, insurance coverage, workmanship, or operational compliance.
User expressly understands and agrees that Obsidian functions primarily as a coordination, dispatch, communication, referral, and technology platform and is not the direct provider of many physical roadside or automotive services coordinated through the platform.
5. USER REPRESENTATIONS & OBLIGATIONS
By using Obsidian services, User represents, warrants, and covenants that:
- All submitted information is truthful, accurate, current, and complete.
- User possesses lawful authority to request services relating to any vehicle or property involved.
- User shall comply with all applicable laws and regulations.
- User shall not misuse, interfere with, damage, overload, reverse engineer, exploit, or unlawfully access any Obsidian systems or services.
- User shall cooperate with dispatch personnel, Providers, and operational representatives where reasonably necessary.
6. COMMUNICATIONS CONSENT; SMS DISCLOSURES
By providing telephone numbers, email addresses, contact information, account information, or otherwise interacting with Obsidian, User expressly consents to receive communications from Obsidian, its affiliates, contractors, Providers, vendors, agents, and technology partners.
Such communications may include:
- telephone calls,
- SMS/text messages,
- emails,
- push notifications,
- prerecorded voice communications,
- dispatch notifications,
- operational alerts,
- account notices,
- service reminders,
- support communications,
- and marketing communications where permitted by law.
Message and data rates may apply.
User may opt out of non-essential marketing communications by replying STOP to text messages or following unsubscribe instructions.
7. CALL RECORDING & COMMUNICATION MONITORING
To the fullest extent permitted by applicable law, User acknowledges and agrees that communications with Obsidian may be monitored, intercepted, reviewed, archived, analyzed, transcribed, or recorded for purposes including quality assurance, fraud prevention, compliance, operational management, dispute resolution, security, analytics, and service improvement.
8. LOCATION DATA & GPS SERVICES
Certain Obsidian services require collection, processing, transmission, storage, or analysis of location-related information.
User expressly consents to Obsidian’s collection and use of:
- GPS coordinates,
- device location information,
- vehicle location information,
- route information,
- travel data,
- ETA information,
- and operational location data.
9. FEES, PAYMENTS, & BILLING
User agrees to pay all applicable fees, costs, charges, taxes, surcharges, tolls, mileage fees, administrative fees, cancellation fees, after-hours charges, storage fees, or other amounts associated with requested services.
Obsidian reserves the right to preauthorize payment methods, collect deposits, process charges, recover unpaid balances, assess administrative fees, or suspend services for nonpayment.
10. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL OBSIDIAN SERVICES, SYSTEMS, SOFTWARE, APPLICATIONS, COMMUNICATIONS, PLATFORMS, TECHNOLOGIES, CONTENT, AND FEATURES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”
OBSIDIAN EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SYSTEM RELIABILITY, SERVICE AVAILABILITY, DATA ACCURACY, OPERATIONAL PERFORMANCE, OR UNINTERRUPTED ACCESS.
11. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, OBSIDIAN ROADSIDE & RECOVERY LLC, INCLUDING ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, PROVIDERS, AGENTS, AFFILIATES, TECHNOLOGY PARTNERS, LICENSORS, AND VENDORS, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO USE OF OBSIDIAN SERVICES.
IN NO EVENT SHALL OBSIDIAN’S TOTAL AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT PAID DIRECTLY TO OBSIDIAN FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.
12. INDEMNIFICATION
User agrees to indemnify, defend, and hold harmless Obsidian and its affiliates, owners, members, officers, employees, Providers, contractors, agents, licensors, vendors, and partners from and against any and all claims, damages, liabilities, losses, judgments, penalties, fines, costs, or expenses, including reasonable attorneys’ fees, arising out of or relating to User conduct, misuse of services, violation of these Terms, disputes with Providers, unlawful conduct, negligence, or infringement of third-party rights.
13. GOVERNING LAW; DISPUTE RESOLUTION
These Terms shall be governed by and construed under the laws of the State of California without regard to conflict of law principles.
To the fullest extent permitted by law, any dispute, controversy, or claim arising out of or relating to these Terms or Obsidian services shall be resolved exclusively through binding arbitration conducted on an individual basis.
USER EXPRESSLY WAIVES:
- ANY RIGHT TO A JURY TRIAL,
- PARTICIPATION IN CLASS ACTIONS,
- COLLECTIVE ACTIONS,
- OR REPRESENTATIVE PROCEEDINGS.
14. FORCE MAJEURE
Obsidian shall not be liable for any delay, interruption, failure, degradation, or inability to perform resulting from causes beyond reasonable control.
15. MODIFICATIONS TO TERMS
Obsidian reserves the unrestricted right to modify, revise, amend, supplement, or replace these Terms at any time without prior notice.
Continued use of Obsidian services following modifications constitutes acceptance of revised Terms.

17. ACKNOWLEDGEMENT
BY ACCESSING, USING, REGISTERING FOR, SUBMITTING INFORMATION TO, COMMUNICATING WITH, OR OTHERWISE INTERACTING WITH OBSIDIAN SERVICES, SYSTEMS, APPLICATIONS, WEBSITES, OR PLATFORMS, USER ACKNOWLEDGES THAT USER HAS READ, UNDERSTOOD, AND AGREED TO BE LEGALLY BOUND BY THESE TERMS OF SERVICE.
